SCOPE OF WORK
Considerations
It's important that tasks and budget are a transparent part of the project, from start to finish. You need to know what I charge, and I need to know what I'm working with.
To that end, I have several website packages. (view here) The first package includes a discount for start-ups/new businesses. Additionally, my prices are negotiable, and I am happy to work with clients on a payment schedule that works for both of us.
Based on our initial discussion, a review of your current website and your Wix draft site, and the notes you provided, I suggested that you would benefit from a site that is larger than a Simple one-page site but does not require all that is included with a Classic website. I proposed a variation of my Classic Package that would remove one special feature (blog, portfolio, booking, or subscriptions). Transferring your domain to Wix, branding, and some copywriting will be added. The original cost for this package would have been $1,500-$1,750.

During the development and design process, I may propose additional pages or custom functionality that might require additional time and cost. This would be presented to you first, to decide if we do it, skip it, or postpone it until a later date.
Phase 1: Strategy
I will first focus on learning more about your services and clients. This includes:
Compiling content about you (from your current website, counseling list websites, etc.)
Research on your client base and service details
Starting to think about the new Site Map
Creating a more specific timeline for each phase of work
Phase 2: Form + Function
Next, I will begin planning the general aesthetic and the essential functions. This includes:
Mapping out what resources we have/still need
Figuring out which tools and apps I will likely use
Research and creation of potential graphics/photos
Updating your logo
Selecting fonts and color palette
Phase 3: Structure
I will begin the site design and build.
Phase 4: Presentation
This phase is a continuation of the design and build, but will mostly be refining the visuals and written content, doing the mobile site design, etc.
Phase 5: Review + Refine
This phase includes:
Editing content
Testing functionality
Incorporating Basic SEO
Two rounds of revisions
connecting to Google Search Console
Connecting and updating your Google Business Profile
Connecting your domain
Launching the new site!
Creating worksheets
Your Commitment & Responsibility
In order to complete this project for the quotes rate, you must commit to clear communications delivered in a timely manner. Should nonresponse or delayed response impact the project, you may be subject to additional fees. Examples of communications necessary for this project include:
Communicating your preferences and expectations for updates and reports on project status.
Providing new or updated content when requested
Approving changes to written content and design
Reviewing changes

Payments
Payment Schedule
$400 Deposit: Paid prior to work commencing.
$400 Balance: Billed after 30 days
If there are changes or additions to the original Scope of Work or timeline after the deposit is paid, DH Solutions will invoice the client at an hourly rate of no less than $75.
Payment Methods
DH Solutions will send invoices via email. Payment is due upon receipt, though invoices include a 14 day window as a courtesy.

Late Payments
Payment is due on the date the invoice is issued. A grace period has been added as a courtesy, which ends on the Due Date listed on the invoice. Payment received after the grace period is a late payment. The grace period is subject to change.
I understand that payment deadlines may be hard to meet. If that is the case, the client must inform DH Solutions of the delayed payment a minimum of three (3) days before the Due Date listed on the invoice. The client and DH Solutions must come to agreement on a new payment schedule with a specific date payment will be made. New payment arrangements must be mutually agreed upon and confirmed in writing. If the client has not received a written acceptance and confirmation of the new payment arrangements, then the original due date remains active.
Third Party Costs
Domain
The website domain names are leased from domain name registration companies and must be paid for by the client. I recommend registering your domain through Wix.
Hosting
Wix.com hosts the website. All websites with a custom domain require a Wix Premium membership plan, which can be paid for in monthly or annual installments. If you do not currently have a Wix Premium membership plan, I recommend waiting until later in the design process so we will have a better idea of which plan will work best for your needs.
Renewals
Domain name renewal, hosting plan renewal, and renewal fees are the responsibility of the client. Clients are advised to closely monitor renewal dates and to verify that renewal payments have been processed. DH Solutions is not responsible for expired domain names or hosting plans.
Disputes + Chargebacks
DH Solutions strives to maintain open and transparent lines of communication with all clients. If a client is unhappy with any service provided by DH Solutions, we request that attempts be made to resolve the situation through open, candid discussion.
If I receive a chargeback or payment dispute from the company that processed a client's payment or the client's credit card company or a bank, then the website service and/or project will be suspended immediately. A $50 chargeback fee (issued to recover fees passed on to DH Solutions by the credit company), plus any outstanding balances accrued as a result of the chargeback(s) must be paid in full before service is restored, files delivered, or any further work is done.
Requesting a chargeback or opening a PayPal dispute for a valid charge from us is considered fraud and it is not an appropriate or legal means of obtaining a refund.
DH Solutions and all other subsidiaries of Deer Heart Solutions Ltd. Co. reserve the right to disable and/or terminate a user’s account if a user is found in violation of ethical web practices. Accounts terminated due to policy violations will not be refunded.
Ownership + Intellectual Property
Design + Development
All written content and media files used as content in a commissioned website must be provided by the client unless the scope of work includes DH Solutions providing content development. Any photos provided by the client must have been created by or for the client or include a valid user license, The client must have ownership of the content or have written permission to use the content by the owner. It is up to the client to ensure the content does not infringe on any trademark, service mark, or copyright. DH Solutions is not responsible for intellectual property infringement claims made about content provided by the client.
Clients should not send irreplaceable photos or documents nor send content that must be returned. All content should be sent electronically. Content provided by DH Solutions is created by DH Solutions or, if created by a third party, has a commercial use license.
DH Solutions retains ownership of all work produced as a part of the paid agreement through the life of the agreement and retains ownership in perpetuity of all unpaid produced work. “Work produced” includes but is not limited to market research, graphic design, website development, written content, research completed for search engine optimization, data, reports, worksheets, instruction manuals, etc.
When an agreement expires or is terminated, and/or when the account is paid in full, DH Solutions will transfer to the client ownership of all work produced as a part of the paid agreement. This does not include worksheets, templates, and other tools created by DH Solutions which were used to facilitate the services rendered by DH Solutions to the client. DH Solutions retains ownership of all unpaid work produced for the project. (Restrictions and limitations are detailed below.)
No client has authorization to give or resell any of the paid or unpaid work produced by DH Solutions as a part of this project. No client has authorization to use any portion of the work produced by DH Solutions on a different website or on a redesign of the website created by DH Solutions if another company or contractor will be involved and/or given credit for that work.
All clients must recognize DH Solutions as the creator of the work produced by including a statement such as “Designed by DH Solutions” in the website footer. This statement shall be hyperlinked to the DH Solutions’ website.
Alterations
Upon completion of the project, DH Solutions will add the client as the website Owner and will change my role to Co-Owner/Admin. As such, the client agrees to:
follow the instructions when making updates to the website
only use media (images, videos, music, documents, etc.) that align with the brand and are set to the required specifications
not make significant alterations to the website design or content for as long as the client uses the website created by DH Solutions
For 12 months following completion of the project, DH Solutions offers a discounted hourly rate to assist with updates to the site.
After the agreement expires or is terminated. and/or upon completion of the project, should the client choose to work with a different designer or website developer or make significant changes to the website design and/or written content, the client must inform DH Solutions. This is both to affirm you understand the terms relating to work produced, ownership, intellectual property, and alterations to work produced and so I know I must update or remove references or links to your project on the DH Solutions website, my Wix Partner Marketplace profile page, or other public references.
Confidentiality
All information that a client provides to DH Solutions, whether it directly relates to the Scope of Work or otherwise, is held in strict confidence. All information is confidential unless it is already in the public domain. The client has final approval of the information included in website content.
DH Solutions will never share information about a client or their business unless directed by the client or as is required by law. Confidentiality survives the expiration or termination of any agreements between DH Solutions and a client.

An invoice for the deposit has been sent to you directly from my bookkeeping system. For your convenience, a PDF of the invoice is attached.
Payment of the deposit is an initiation of the website project and is an acceptance of this contract in its entirety.
