By retaining/hiring DHSolutions, you agree to the following terms:
DHSolutions develops the scope of work and budget with you to ensure your needs are met. Once we have a plan we both agree to, the client must pay a deposit in order for work to begin. The amount of the deposit is based on the total budget amount. The depsoit is nonrefundable but will be applied toward work completed.
Once a deposit is paid in order to reserve our services, DHSolutions allots that time for your project and denies any subsequent requests that may infringe on your project's timeline.
The payment schedule is developed with the client. As a courtesy to our clients, payments for custom website design are made to DHSolutions in increments. Payment is due 15 days after receipt of invoice.

I understand that payment deadlines may be hard to meet. I am always willing to work with my clients to find solutions that work for both parties. If it is the case that you will not be able to meet the payment due date, let me know at least 3 days before the due date so we can make alternate arrangements. If payment is not submitted by 5 pm on the due date without prior arrangements being made, a 5% late fee will be added to your account and again every 30 days until the account is paid in full.
After 30 days of nonpayment, DHSolutions may suspend your website. And, after 90 days of nonpayment, DHSolutions will take legal action.
Refunds & Cancellations
Details around changes to an agreement are specific to each client and will be detailed in our contract.
Once a payment or deposit is made, it is non-refundable. If a project is canceled or postponed, all monies paid are retained by DH Solutions and, if applicable, a fee for all work completed beyond what was already paid for shall be paid by the client.
Disputes & Chargebacks
We hope that should there be any dispute you first talk with DHSolutions to resolve it.
If we receive a chargeback or payment dispute from the company that processed your payment, a credit card company, or a bank, then your website service and/or project will be suspended immediately. A $50 chargeback fee (issued to recover fees passed on to us by the credit company), plus any outstanding balances accrued as a result of the chargeback(s) must be paid in full before service is restored, files delivered, or any further work is done.
Requesting a chargeback or opening a PayPal dispute for a valid charge from us is considered fraud and it is never an appropriate or legal means of obtaining a refund.
DHSolutions and all other subsidiaries of Deer Heart Solutions Ltd. Co. reserve the right to disable and/or terminate a user’s account if a user is found in violation of ethical web practices. Accounts terminated due to policy violations will not be refunded.
Ownership / Intellectual Property
Design and Development
All text and photos used as content in a commissioned website must be provided by the client unless the scope of work includes DHSolutions providing content development. Any photos provided by the client must have been created by or for the client or include a valid user license, The client must have ownership of the content or have written permission to use the content by the owner. It is up to the client to ensure the content does not infringe on any trademark, service mark, or copyright. DHSolutions cannot be responsible for intellectual property infringements on behalf of clients.
DHSolutions cannot be held responsible for content submitted by a client. Clients should not send irreplaceable photos or documents nor send content that must be returned.
DHSolutions will use content from another creator, in part or whole, only with a valid commercial use license. DHSolutions will keep this license on file. Should a client ever need documentation of the licensed use of any content, please contact us and we will provide a copy of the license.
The work produced by DHSolutions (design, website development, content, data, reports, etc) is the property of DHSolutions through the life of the agreement with a client. When an agreement is terminated or expires, and when the final payment is received, DHSolutions will transfer ownership of all work produced for a client. This does not include the worksheets, templates, and other tools created by DHSolutions or Deer Heart Consulting and which were used to facilitate the services rendered by DHSolutions to the client.
DHSolutions retains ownership of the website and all work produced until the client submits payment in full.
Our clients do not have the right to resell the work created by DHSolutions.
Our clients do have the right to add pages onto the existing site or have another company add pages onto the existing site using DHSolutions' website design/development.
Our clients do not have permission to reuse pieces of DHSolutions' work in a redesigned website that gives another company design credit.
Our clients must acknowledge DHSolutions as the creator of the website, design, etc. Should a client make changes to work created by DHSolutions which may significantly alter its design or the intended use or the user experience, the client must obtain written notice from DHSolutions as to whether the site shall continue to be attributed to DHSolutions or not. This is true beyond the life of the agreement between DHSolutions and a client.
Website domain names are leased from domain name registration companies. If DHSolutions registers a domain name for a client, that registration will be made in the client’s name. Upon payment of any outstanding fees, the client has the right to use that domain name regardless of whether you choose to continue working with DHSolutions.
Domain name renewal and renewal fees are the responsibility of the client. If the client chooses to have DHSolutions renew the domain name on behalf of the client, an additional service fee will apply. Clients are advised to closely monitor the renewal date of a registered domain name and to verify that the renewal of said domain name has been completed. DHSolutions cannot be held responsible for expired domain names.
All information that a client provides to DHSolutions, whether directly relating to the Scope of Work or not, is held in strict confidence. All information is confidential unless it is already in the public domain. The Client has final approval on the information shared about their business in all marketing efforts.
DHSolutions will never share information about their clients' businesses unless specifically required to by law.
Confidentiality survives the expiration or termination of any agreements between DHSOlutoons and our clients.
Collection of your Personal Information
DHSolutions may collect personally identifiable information, such as your name. We may gather additional personal or non-personal information in the future.
Information about your computer hardware and software may be automatically collected by DHSolutions. This information can include your IP address, browser type, domain names, access times, and referring website addresses. This information is used for the operation of the service, to maintain a high quality of the service, and to provide general statistics regarding the use of the DHSolutions website.
DHSolutions encourages you to review the privacy statements of websites you choose to link to so that you can understand how those websites collect, use and share your information. DHSolutions is not responsible for the privacy statements or other content on websites outside of the DHSolutions website.
Use of your Personal Information
DHSolutions collects and uses your personal information to operate our website(s) and deliver the services you have requested.
DHSolutions may also use your personally identifiable information to inform you of other products or services available from DHSolutions, other divisions of Deer Heart Solutions Ltd. Co., our partners, and our clients. DHSolutions may also contact you via surveys to conduct research about your opinion of current services or of potential new services that may be offered.
DHSolutions does not sell, rent, or lease its customer lists to third parties nor do we purchase, rent, or lease such lists.
DHSolutions may share data with trusted partners to help perform statistical analysis, send you email or postal mail, provide customer support, or arrange for deliveries. All such third parties are prohibited from using your personal information except to provide these services to DHSolutions, and they are required to maintain the confidentiality of your information.
DHSolutions may keep track of the websites and pages our users visit within DHsolutions, in order to determine what services are the most popular. This data is used to deliver customized content and advertising within DHSolutions to customers whose behavior indicates that they are interested in a particular subject area.
DHSolutions will disclose your personal information, without notice, only if required to do so by law or in the good faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on DHSolutions or the site; (b) protect and defend the rights or property of DHSolutions; and, (c) act under exigent circumstances to protect the personal safety of users of DHSolutions or the public.
The DHSolutions website may use “cookies” to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a web page server.
